TERMS OF PURCHASE

OVERVIEW

Thank you for shopping at Click2Sell.eu’s (UAB "Click2Sell") online shopping mall. Under this agreement you undertake to buy the Product(s) from Click2Sell and Click2Sell undertakes to sell the Product(s) to you.
Click2Sell contracts with Vendors to buy their Products for immediate resale to Customers. The title of the Products will pass from the Vendor to Click2Sell at the time when Click2Sell approves your order, and then subsequently to you at the time the payment in full of the price of the order (including interest or other payment due for the Product) has been made by you and entered into the Click2Sell bank account.

These Terms of Purchase apply to all of your online purchases from the Website and may NOT be altered, supplemented, or amended by you through the use of any other document(s). Any attempt by you to alter, supplement or amend this document or to enter an order for Products which is subject to additional or altered terms and conditions shall be null and void, unless otherwise agreed to in a written agreement signed by both you and Click2Sell.

Vendor - means business owner (supplier or manufacturer) that sells Products to Click2Sell for immediate resale.

Customer ("you", "your", "party") - means any entity or individual that purchases Products at www.click2sell.eu.

Product(s) - means any digital product, products or services sold at www.click2sell.eu. Click2Sell allows you to buy only digital Products.

Website - means online shopping mall located at www.click2sell.eu.

ACCEPTANCE

BY PURCHASING PRODUCTS FROM THIS WEBSITE, YOU AGREE TO BE BOUND BY AND ACCEPT THIS PURCHASE TERMS.

PRODUCT DESCRIPTIONS

Click2Sell contracts with Vendors to sell their Products to Click2Sell for immediate resale to Customers. Vendors are responsible for writing the product descriptions of their respective Products. Click2Sell does not warrant that the product descriptions are accurate, complete, reliable, current, or error-free. If any Product you purchased from Click2Sell is not as described, your sole remedy is to return the Product.

PRICING

Products sold through our Website have a retail and wholesale price. Vendors provide Click2Sell with a suggested retail price for their Products. Click2Sell as the reseller makes the final determination to the price for which the Product will be sold (because of the taxes, like VAT, or other expenses). The price may be different than the suggested price of the Vendor.

At the time of purchase by a Customer, Click2Sell purchases the Product from the applicable Vendor at a wholesale price, which can vary by Product type, price, and currency, and resells the Product to the Customer.

Your purchase will appear on your bank statement under the name "WP-C2S.COM" (UAB "Click2Sell").

TAXES

If Click2Sell determines your purchase is subject to sales tax or other tax form (for i.e. VAT), a separate charge for taxes will be shown on your order form.

PAYMENT METHODS

The current available payment methods are: credit cards from Visa, MasterCard, American Express, Discover, JCB and Diners Club; debit cards with the Visa or MasterCard logo and PayPal. Orders are processed only after your billing address or other billing information has been verified.

DELIVERY, ACCEPTANCE OF PRODUCTS AND TRANSFER OF OWNERSHIP

All Products are delivered immediately to the Customer after a successful payment via website download link, e-mail or any other form of digital service. All Products are delivered by Click2Sell. The ownership of the Product is transferred to the Customer upon the delivery of the Product. The risks of accidental perish, theft, disappearance or damage to the Product shall pass to the customer upon the delivery of the Product.

INVOICE

After the purchase Click2Sell will send you an invoice regarding your purchase.

RESALE OF PRODUCTS

Click2Sell sells the Products of Vendors to Customers for non-commercial use. Unless specifically stated otherwise with regard to a particular Product, you may not resell the Product.

QUALITY WARRANTY

Click2Sell grants the quality warranty for the Products and undertakes to deliver the Products in good quality. If the Product delivered does not correspond to the quality requirements, you are entitled to demand, at your own choice, to replace the Product by the equal quantity of Product of satisfactory quality or to get your money back.

MONEY RETURNS

Click2Sell manages all refunds and can return money to all Customers if they are not satisfied with the Product. Each Customer has a 90 day money-back guarantee.

Your name and email address may be provided to the Vendor of the Product upon completion of this purchase.

LIMITATIONS OF LIABILITY

CLICK2SELL DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN, INCLUDING ANY LIABILITY FOR PRODUCTS NOT BEING AVAILABLE FOR USE OR FOR LOST OR CORRUPTED DATA OR SOFTWARE, OR THE PROVISION OF SERVICES AND SUPPORT. UAB CLICK2SELL WILL NOT BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, DIRECT, INDIRECT, OR STATUTORY DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES BUNDLED WITH THE PRODUCTS, WHETHER FOR BREACH OF CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE, CLICK2SELL SHALL NOT BE LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AGGREGATE MONEY AMOUNT PAID BY YOU FOR THE PURCHASE OF PRODUCTS OR SERVICES UNDER THESE PURCHASE TERMS GIVING RISE TO SUCH LIABILITY.

REPRESENTATIONS AND WARRANTIES

Click2Sell represents and warrants to the Customer that:

• Click2Sell is entitled to resell and deliver the Products to the Customer and this right is not anyhow limited or disputed;
• By reselling the Products Click2Sell does not infringe any patents, industrial design rights, trademarks and (or) other intellectual property rights.

INDEMNIFICATION

You agree to defend and indemnify UAB CLICK2SELL and its employees and Sellers from any claim or demand, including reasonable attorney’s fees, arising from your failure to comply with this Purchase Terms, your violation of any law, or the rights of a third party.

APPLICABLE LAW AND DISPUTE RESOLUTION

The interpretation, validity and enforcement of these Terms of Purchase, and all legal actions brought under or in connection with the subject matter of these Terms of Purchase, shall be governed by the law of the Republic of Lithuania.

Any disagreements or disputes of the Parties, arising from these Terms of Purchase, shall be settled by negotiations between the Parties. In case of failure to reach an agreement in 14 (fourteen) days, any disputes, disagreements or claims, arising from these Terms of Purchase or related to it, its breach, dissolution or validity, that have not been solved by the Parties, shall be settled in the competent court of the Republic of Lithuania, according to the registration address of Click2Sell.

CHANGES AND UPDATES OF THE TERMS OF PURCHASE

We may amend or update these Terms of Purchase at any time by posting the amended terms on our Website. The revised and amended version will be effective at the time we post it. If you continue to use our services after the Terms of Purchase have been revised and amended, you will be considered as having expressly consented to all amendments to the Terms of Purchase. If you disagree with the Terms of Purchase or its updates, please don't buy any Products from our Website.

OTHER TERMS

You confirm that you have read these Terms of Purchase, understood its contents and consequences.

If any of the provisions of these Terms of Purchase or their part for any reason is or becomes invalid, its invalidity has no effect on validity of other provisions of these Terms of Purchase and they remain valid. In such case the Parties shall agree to substitute the invalid provision by a legally valid provision, which by its legal or economic outcome would as much as possible correspond to the invalid provision.

Notwithstanding anything herein to the contrary, the "Limited Warranty" and the "Limitation of Liability" language shall survive the termination of these Terms of Purchase.

The provisions of this Purchase Terms will inure to the benefit of and be binding upon UAB CLICK2SELL and its successors and assigns, and you and your heirs, executors, administrators, successors, and personal representatives, and all persons you represent and their respective successors, assigns and related persons.

You and your representatives are not entitled to transfer wholly or partly the rights and duties arising from these Terms of Purchase to any third person without prior written consent of Click2Sell.

Click2Sell may transfer wholly or partly the rights and duties arising from these Terms of Purchase to any third person without your consent or the consent of any persons you represent.

UAB CLICK2SELL'S FAILURE TO ENFORCE ANY PROVISION OF THE PURCHASE TERMS OR TO ACT WITH RESPECT TO A BREACH OF THE PURCHASE TERMS BY YOU SHALL NOT BE DEEMED A WAIVER OF SUCH PROVISION NOR OF UAB CLICK2SELL'S RIGHT TO ACT WITH RESPECT TO SUBSEQUENT OR SIMILAR BREACHES, NOR OF UAB CLICK2SELL'S RIGHT TO ENFORCE SUCH PROVISION.

Nothing contained in this Purchase Terms shall be deemed to constitute either party as the agent or representative of the other party, or both parties as joint venturers or partners for any purpose.
